Terms of Service

The following terms and conditions (the "Terms of Service") apply and will continue to apply from your first use of the services provided on www.criskco.com (the "Site"). Your use of the Services constitutes your agreement to be bound by these Terms of Service.

Parties

The Services are operated by B2B Credit Risk Community Inc. and its subsidiaries ("CRiskCo", "we"). We make certain software applications and platforms available to customers on our Site for the purpose of providing a business network and supporting the exchange of commercial information between them.

1. Interpretation — Key Definitions

"Authorized Users" — employees, agents, and independent contractors authorized by you to use the Services.
"Customer Data" — invoice details or other information provided by you for the purpose of using the Services.
"Documentation" — online document setting out a description of the Services and instructions.
"Services" — the services described in Clause C of the Terms of Service.
"Software" — online software applications provided by us as part of the Services.

2. Use of the Services

As a condition of your use of the Site and the Services, you agree that:

You are at least 13 years of age
You are using the Services on behalf of a company or other legal entity
You have the authority to bind your company to the Terms of Service
You are not excluded from using our Services under applicable law
You will not attempt to use the Services with crawlers, robots, or extraction tools
Your use will comply with these Terms of Service at all times
The information you submit is accurate, truthful, current, and complete

We grant you a non-exclusive, non-transferable right to use the Services solely for your internal business operations.

3. Services

Subject to your compliance with the Terms of Service, we will provide you with:

Access to the Software through the Site
Commercial network and electronic commercial documents, including an electronic invoicing system
All software, data, text, images, sound, video, and content available
Any new features added to the Services

4. EDI Terms

The EDI Terms apply between you and other CRiskCo users when you accept a network connection. EDI Parties agree to issue and receive invoices and/or other commercial documents by using EDI through the Site.

Each EDI Party is responsible for ensuring that use of the Site to exchange EDI Messages is not inconsistent with the law of their respective country.

5. Data and Privacy

You will own all rights, title, and interest in the Customer Data and will be solely responsible for its legality, reliability, integrity, accuracy, and quality.

We will store all Customer Data on the Site while you have an active account with CRiskCo. Upon cancellation or termination of the Services, all Customer Identification Data will be deleted from our records. CRiskCo has the right to store some information for statistical use and risk model training.

6. Disclaimer of Warranties

YOU EXPRESSLY AGREE THAT YOUR USE OF THE SITE AND THE SERVICES IS AT YOUR OWN RISK. THE SITE AND THE SERVICES ARE ACCESSIBLE ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE EXTENT PERMITTED BY APPLICABLE LAW, CRISKCO DISCLAIMS ANY AND ALL REPRESENTATIONS, WARRANTIES, AND CONDITIONS, WHETHER EXPRESS OR IMPLIED.

7. Your Obligations

Comply with all applicable laws and regulations
Ensure that Authorized Users use the Services in accordance with the Terms
Keep your username and password confidential
Not submit any information that violates applicable laws, contains viruses, or is defamatory

8. Payment Charges

Some Services are available free of charge. We reserve the right to charge you for any part of the Services we decide to charge for, provided we have given you reasonable notice. All amounts are payable in the currency indicated on the Site, are non-cancelable and non-refundable, and exclude all applicable taxes.

9. Intellectual Property Rights

We and/or our licensors own all intellectual property rights in the Site, the Services, and the Documentation. These Terms of Service do not grant you any rights over patents, copyrights, trade secrets, trademarks, or any other license.

10. Indemnification and Release

You agree to defend, indemnify, and hold harmless CRiskCo from all claims and expenses arising from your use of the Site or Services in violation of these Terms.

11. Limitation of Liability

IN NO EVENT SHALL CRISKCO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. CRISKCO'S LIABILITY SHALL NOT EXCEED THE VALUE OF FEES PAID DURING THE IMMEDIATELY PRECEDING 12 MONTHS.

12. Force Majeure

CRiskCo shall be excused from performance to the extent it is prevented by events beyond its reasonable control including weather conditions, acts of war, quarantines, labor strikes, or software failures.

13. Termination

The account owner may cancel the account at any time through the dashboard on the Site. Upon termination, all rights granted under these Terms of Service terminate immediately.

14. Governing Law

These Terms of Service and any dispute arising shall be governed by the laws of the State of Delaware, USA.
